This Public Offer Agreement defines the terms of use of the CALLCENTEROK online platform available via callcenterok.com and my.callcenterok.com.

Sole proprietor Oleksandr Oleksandrovych Yaremenko offers any person access to the software platform for voice communications automation on the terms of this Offer.

Registration, balance top-up, or use of the Service means full and unconditional acceptance of this Offer.

1. Definitions

Service: the CALLCENTEROK software platform for voice communications automation, SIP telephony, AI voice automation, transcription, and call routing.

User: an individual or legal entity using the Service.

Balance: the User's internal prepaid account within the Service.

AI functionality: features for automatic generation, processing, or transcription of voice and text using artificial intelligence.

Phone number: a number or SIP/FMC endpoint used as part of the Service functionality.

2. Subject of the Agreement

The Provider grants the User access to the software platform for voice communications automation.

The Service may include AI voice agents, SIP telephony, voice automation, AI transcription, call routing, API integrations, phone numbers, and SIP/FMC functionality.

Phone numbers, SIP/FMC endpoints, and other telecom functionality are part of the CALLCENTEROK platform and are provided only as elements of the Service. They are not transferred to the User as ownership, lease, or exclusive use.

The Service is provided under the SaaS model.

3. Registration and Access

The User creates an account to use the Service and agrees to provide accurate information.

The User is fully responsible for preserving access to the account, all use of the account, and all actions performed through it.

The User confirms that the Service is used within lawful business or professional activity.

4. Balance and Payment

The User tops up an internal balance to use the Service. Funds added to the balance are a prepayment for the Service.

Charges are deducted automatically based on actual Service usage.

Billing may be per minute, per second, for AI processing, SIP usage, transcription, or use of third-party AI services.

If the balance is insufficient, the Provider may limit functionality, suspend the Service, or block call execution.

The Provider may change pricing unilaterally.

5. AI Functionality and Data Processing

The Service may support call recording.

The User is solely responsible for the lawfulness of call recording, notifying call participants about recording, and obtaining any required permissions or consents.

The Provider is not responsible for unlawful use of recording features by the User.

Call recordings may be stored and processed for Service operation, AI processing, transcription, technical support, quality assurance, and dispute handling.

Call recordings, audio, text, SIP metadata, and other technical data may be transferred to third-party AI providers and telecom providers, including OpenAI, cloud providers, hosting providers, and AI processing platforms.

AI functionality may be inaccurate, may generate incorrect responses, and may transcribe audio incorrectly. The Provider does not guarantee absolute accuracy of AI outputs or transcription.

6. Permitted and Prohibited Use

The User may not use the Service for spam, scam, fraud, phishing, impersonation, unlawful robocalling, mass unwanted calls, violation of Ukrainian law, or violation of telecom provider rules.

The User is solely responsible for call content, lawful use of the Service, and obtaining necessary permits and consents.

CALLCENTEROK does not cooperate with individuals or legal entities from the Russian Federation. The Provider reserves the right to refuse service and transfer all funds received from such persons to funds or volunteer organizations supporting the Armed Forces of Ukraine.

The Provider may, without prior notice, limit functionality, suspend access, block the account, or refuse service.

7. Logs and Technical Data

The Provider may retain SIP metadata, CDR, IP addresses, timestamps, call duration, billing information, and routing information.

These data may be used for billing, fraud detection, abuse prevention, technical support, and security.

8. Limitation of Liability

The Service is provided on an as is basis.

The Provider does not guarantee uninterrupted operation, absence of errors, availability of telecom providers, or availability of AI providers.

The Provider is not liable for loss of profit, indirect damages, number blocking by telecom providers, AI errors, or actions of third parties.

9. Termination of Access

The User may stop using the Service at any time.

The Provider may terminate access in case of breach of the Offer, suspicious activity, abuse or fraud activity, legal violations, or telecom provider requirements.

10. Changes to the Offer

The Provider may change the terms of the Offer. The current version is published on the website. Continued use of the Service means acceptance of the updated version.
